Community management platform Mygate and digital advertising company AdOnMo are set to merge in an all stock deal, bringing residential community access and digital advertising networks under one business. The combined entity is expected to generate around Rs 500 crore in annual revenue, while its reported valuation is approximately Rs 3,500 crore.

The merger will combine Mygate’s residential community platform with AdOnMo’s network of digital screens installed in high traffic locations. The aim is to build a larger advertising and community technology business while giving Mygate a new revenue stream beyond advertisements within its app.

The transaction follows approval by Eternal’s board to transfer its entire shareholding in AdOnMo to Mygate as part of the proposed merger. Eternal, the parent company of Zomato and Blinkit, is expected to hold around 4.4% of the merged company on a fully diluted basis, with its stake valued at approximately Rs 156 cr, according to company disclosures.

The deal remains subject to customary conditions and statutory approvals.

Mygate and AdOnMo Bring Together Communities and Digital Screens

Mygate provides technology for managing gated residential communities, including visitor management, resident communication and other society services. The company’s platform is used by around 60 lakh households across 30,000 residential communities.

AdOnMo operates a network of more than 55,000 connected digital screens across 27 cities. These screens offer advertising opportunities in residential and other high engagement environments.

Combining the two networks could allow advertisers to reach audiences through both digital platforms and physical screens in residential common areas, including lobbies, entrance gates, clubhouses and elevators.

For housing societies, the companies say the combined platform could also support digital communication of notices, announcements and other resident information. The commercial opportunity will depend on how effectively the businesses integrate their networks while maintaining residents’ trust and privacy.

Founders and Leadership Behind the Merger

Mygate was founded by Abhishek Kumar, Shreyans Daga and Rohit Jindal. AdOnMo was co-founded by Sandeep Bommireddi and Sravanth Gajula, who are expected to join Mygate’s board and help build the combined business.

Mygate reported FY26 turnover of Rs 229 crore, up 33.9% from Rs 171 crore in FY25. The company also raised Rs 225 crore from Dharana Capital in June 2026, in a funding round that valued it at around Rs 2,000-2,200 Cr, according to media reports.

Eternal invested Rs 112 crore in AdOnMo in January 2022. Its proposed stake in the merged entity is currently valued at Rs 156 crore, around 39.3% above its original investment value. However, this is a share swap transaction, not a cash exit, so the valuation does not represent realised proceeds for Eternal.

What the Combined Business Could Mean

The merger brings together two complementary assets: Mygate’s access to residents through its community platform and AdOnMo’s physical digital-screen network. That combination could help brands reach consumers in residential settings while offering societies another way to communicate with residents.

The challenge will be to integrate advertising into community spaces without undermining the trust that makes a residential management platform useful. Clear controls over ad placement, data use and resident communication will be important as the combined company expands.
