Bonfiglioli Transmissions has raised Rs 759.26 crore from institutional investors ahead of its Rs 2,533.8 crore initial public offering (IPO), which opens for subscription on October 15.

The company allotted approximately 1.29 crore equity shares to 73 institutional investors at Rs 586 per share, the upper end of its price band. The anchor book attracted domestic mutual funds, global investment firms and insurance companies, reflecting institutional participation ahead of the public issue.

The IPO will remain open until October 19, with shares priced between Rs 558 and Rs 586. The offering is entirely an offer for sale (OFS) by the company's promoter, Italy based Bonfiglioli S.p.A.

Unlike a fresh issue, the OFS will not raise new capital for Bonfiglioli Transmissions. After applicable offer expenses, the proceeds will go to the selling shareholder. Investors evaluating the IPO will therefore need to focus on the company's business fundamentals, financial performance and valuation rather than expecting the issue to finance its future expansion directly.

  • Domestic Mutual Funds Lead Anchor Allocation

Domestic mutual funds received 76.72 lakh shares worth Rs 449.61 crore, accounting for approximately 59% of the total anchor allocation. The shares were allocated through 46 mutual fund schemes, according to the company's filing.

Participating fund houses included SBI Mutual Fund, ICICI Prudential AMC, HDFC AMC, Nippon Life India AMC, Axis Mutual Fund, Mirae Asset and Aditya Birla Sun Life AMC.

Global institutional investors, including BlackRock, Goldman Sachs, Abu Dhabi Investment Authority, Allianz Global Investors and Amundi Funds, also participated. Insurance investors included ICICI Prudential Life Insurance, HDFC Life Insurance and Axis Max Life Insurance.

Anchor participation provides an indication of institutional demand ahead of the public offering, but it does not guarantee listing gains or future share-price performance.

Bonfiglioli Transmissions manufactures precision-engineered gear motors, gearboxes and industrial drive systems used in automation, off-highway equipment, industrial processes and renewable energy applications. It operates as an Indian subsidiary of Italy-based Bonfiglioli S.p.A., a global power transmission solutions group.

The business serves industrial customers whose equipment depends on reliable mechanical and electro-mechanical drive systems. Demand from automation, infrastructure and renewable energy could provide opportunities, although performance will also depend on industrial investment, customer demand and manufacturing costs.

At the upper end of the price band, the IPO values the company at approximately Rs 11,000 crore, based on its post-issue share capital. The offer's entirely secondary structure means the listing will provide an exit opportunity for the promoter rather than inject fresh equity into the Indian business.

For investors, the key considerations extend beyond anchor-book participation: valuation, earnings growth, cash generation, customer concentration and the company's relationship with its overseas parent will all matter when assessing the shares.

The IPO is managed by Axis Capital, BNP Paribas, ICICI Securities and Jefferies India. The shares are proposed to list on the BSE and NSE on October 23, 2026.
