Fairfax India Holdings Corporation has invested ₹2,000 crore in IIFL Capital Services by acquiring an additional 11.22% stake, strengthening its position in the Indian financial services company as it moves towards a potential controlling interest.
The investment was made through Fairfax India's wholly owned subsidiary, FIH Mauritius Investments Ltd (FIHM), which received 5.71 crore newly issued equity shares in a preferential allotment completed on November 4, 2026.
According to IIFL Capital's regulatory filing, the shares were allotted at Rs 350 apiece, taking Fairfax India's direct shareholding in the company to 38.04%, from 26.82% previously.
In a November 4 announcement, Fairfax India confirmed that the investment amounted to Rs 20 billion (approximately $211 million).
Fairfax Targets 51% Stake In IIFL Capital
The latest investment is part of a broader agreement under which Fairfax India is seeking to increase its ownership in IIFL Capital to at least 51%, together with its affiliate HWIC Asia Fund.
Following the preferential allotment, Fairfax India holds approximately 38% directly, while HWIC Asia Fund holds another 2.8%. Their combined shareholding has therefore reached approximately 40.8%.
Under the investment agreement with IIFL Capital and its existing promoters, Fairfax India will also undertake an open offer to acquire up to 26% of the company's share capital from public shareholders.
If the shares tendered in the open offer are insufficient to reach the 51% target, IIFL Capital's existing promoters have agreed to sell additional shares to Fairfax India to bridge the gap.
The additional open offer and potential promoter share acquisition are expected to involve approximately Rs 1,930 Cr, subject to the outcome of the open offer and customary closing conditions.
However, the newly allotted preferential shares will remain in a separate demat escrow account without voting rights until completion of the open offer, in accordance with SEBI's takeover regulations.
Nirmal Jain Founded The IIFL Group
IIFL Capital Services operates across wealth management, investment banking, institutional equities and advisory services.
The broader IIFL Group was founded in 1995 by Nirmal Jain, who built the financial services business from an independent equity research firm into a diversified financial services group.
IIFL Capital's existing promoters are also part of the investment agreement with Fairfax, which is structured to facilitate the Canadian investor's proposed increase in ownership.
The Competition Commission of India (CCI) cleared Fairfax India's proposal to acquire an additional stake in IIFL Capital in September 2026.
Fairfax's Bigger Financial Services Ambitions In India
The IIFL Capital investment comes alongside Fairfax's proposed acquisition of a controlling stake in IDBI Bank.
On October 14, 2026, the Union Cabinet approved the sale of a combined 60.72% stake in IDBI Bank to a Fairfax-backed entity for Rs 52,878.08 Cr. The transaction involves the government's 30.48% holding and Life Insurance Corporation of India's 30.24% stake.
Fairfax has also indicated plans to contribute its interests in IIFL Capital and Digit Insurance to IDBI Bank, subject to the necessary regulatory approvals.
The broader strategy could bring banking, wealth management, investment banking and insurance businesses under a common financial services structure.
For IIFL Capital, Fairfax's increasing investment provides a route towards a change in ownership and greater integration with the investor's wider financial services ambitions in India. However, the proposed open offer, promoter share acquisition and regulatory approvals remain important steps before the ownership transition is completed.
