Delhi-based gold loan-focused non-banking financial company (NBFC) IFL Finance has received observations from the Securities and Exchange Board of India (SEBI) on its draft IPO papers, allowing the company to move ahead with preparations for its proposed public issue of 3.85 crore equity shares.
The company filed its draft red herring prospectus (DRHP) with SEBI in July 2026. According to the regulatory filing, the proposed IPO comprises a fresh issue of up to 3.55 crore equity shares and an offer for sale (OFS) of 30 lakh shares by existing promoters.
SEBI issued its observations on November 5, 2026. Following the observations, IFL Finance will have one year to file its red herring prospectus (RHP), which will contain the final issue details and enable it to proceed towards the public offering.
The company may also consider a pre-IPO placement of up to 1.15 crore equity shares. Any shares placed before the IPO will be deducted from the fresh issue component.
IFL Finance IPO: Where Will The Money Go?
IFL Finance plans to utilise ₹150 crore from the net proceeds of the fresh issue, excluding issue-related expenses, to strengthen its Tier-I capital base.
The additional capital is expected to support future business requirements, particularly funding onward lending as the company's loan portfolio expands.
Aryaman Financial Services has been appointed as the book-running lead manager for the proposed IPO.
The company has not yet announced the IPO price band, issue opening date or expected valuation.
Gopal Bansal-Led IFL Finance Focuses On Gold Loans
Gopal Bansal, Chairman and Managing Director, is the key promoter leading IFL Finance. The company's promoter group also includes Sunita Bansal and India Finsec Limited, its holding company.
IFL Finance operates as a non-deposit-taking NBFC classified as an Investment and Credit Company (NBFC-ICC) under the Reserve Bank of India's Base Layer framework. Its lending business primarily focuses on secured retail loans, particularly loans against gold.
According to its IPO disclosures, the company operated 88 branches across five states and one Union Territory as of March 31, 2026. Delhi accounted for 31 branches, while Rajasthan had another 33.
Its gross loan portfolio stood at approximately ₹520.49 crore as of March 2026, compared with ₹279.10 crore two years earlier. Gold loans contributed 84.77% of the portfolio, highlighting the company's concentration in secured gold-backed lending.
IPO To Support The Next Phase Of Lending Growth
The proposed public issue comes as IFL Finance looks to strengthen its capital base and expand its lending operations.
For gold loan-focused NBFCs, access to additional equity capital can support branch expansion, increase lending capacity and provide a stronger buffer against future capital requirements.
The ₹150 crore capital augmentation planned through the IPO will therefore be an important component of IFL Finance's growth strategy. However, investors will also need to assess its asset quality, geographical concentration, funding costs and ability to maintain portfolio performance as lending expands.
With SEBI's observations now received, the company has moved another step closer to the public markets. The final issue size, pricing and subscription timeline will become clearer through subsequent regulatory filings.
