Anthropic, the artificial intelligence company behind the Claude chatbot, is looking to raise up to $3.5 billion from investors in Japan through its planned US initial public offering (IPO). The proposed allocation makes Japan an important part of the company’s international share sale as it prepares for a closely watched stock market debut.

According to a regulatory filing reported by The Unicorn Magazine on November 2, Anthropic plans to offer shares worth up to 552.9 billion yen, equivalent to approximately $3.5 billion, to Japanese investors. The funds raised through the issuance are intended to support working capital, operating expenses and capital expenditure.

Mizuho Securities will manage the Japanese portion of the offering. Goldman Sachs, Mitsubishi UFJ Morgan Stanley Securities and Morgan Stanley MUFG Securities are among the firms expected to handle investor orders. Mizuho Financial Group and Mitsubishi UFJ Financial Group are also part of the underwriting group.

Japan Among Select Markets for Anthropic IPO

Japan is one of the limited international markets where investors will be able to participate directly in Anthropic’s public offering. The company’s registration statement with the US Securities and Exchange Commission (SEC) also identifies Australia, Canada, certain member states of the European Economic Area, Switzerland and the United Kingdom as participating markets.

The SEC filing, submitted on October 26, lists Goldman Sachs and Morgan Stanley as representatives of the underwriting syndicate. It also names Mizuho Securities USA and MUFG Securities Americas among the underwriters.

The international distribution gives Anthropic access to investors beyond the US, while bringing Japanese financial institutions into a major global technology listing. Japan’s participation is particularly notable given the scale of the proposed allocation.

For comparison, Japanese investors secured shares worth around $2.2 billion in SpaceX’s $75 billion IPO in June, according to Reuters. Anthropic’s proposed Japanese allocation is therefore substantial by recent deal standards.

IPO Comes Amid Heavy Demand for AI Capital

Anthropic’s public listing comes at a time when technology companies are seeking large amounts of capital to expand artificial intelligence infrastructure and development. The company’s SEC registration statement says proceeds from its offering are intended for general corporate purposes, including working capital, operating costs, investments in computing and infrastructure, and hiring.

The filing does not yet specify the final IPO size, share price or valuation. While some market participants have discussed a valuation of around $1.5 trillion, that figure is an investor estimate reported by Reuters, not a confirmed IPO valuation.

For investors, the offering will provide an opportunity to assess the commercial value of a leading AI developer through public markets. It will also bring closer scrutiny of the capital requirements behind advanced AI models, where computing capacity and infrastructure spending remain significant considerations.

Anthropic’s proposed $3.5 billion Japanese allocation highlights the international investor interest surrounding its listing. The final response from markets, however, will become clearer only when the company discloses its pricing and offering details.
