Atomberg Technologies, the consumer appliances company known for its energy-efficient ceiling fans, has received the SEBI observations on its draft IPO papers, taking it a step closer to the public markets.

The proposed offering includes a fresh issue of shares worth up to Rs 450 crore and an offer for sale (OFS) of 7.65 crore shares by existing investors. SEBI issued its observations on October 30, 2026, after Atomberg filed its DRHP in August.

Founded in 2012 by Manoj Meena, who was joined by Sibabrata Das as co-founder in 2013, Atomberg has built its business around energy-efficient consumer appliances and proprietary motor technology.

How Atomberg Plans to Use the IPO Proceeds

Atomberg plans to allocate Rs 150 crore from the fresh issue towards brand awareness and performance marketing. Another Rs 100 crore is earmarked for research and development, while ₹90 crore will go towards repayment or prepayment of certain borrowings.

The remaining proceeds will be used for general corporate purposes.

The OFS will provide an exit opportunity for existing shareholders, including A91 Partners, Temasek-backed V-Sciences Investments, Jungle Ventures, Inflexor, Steadview Capital and Survam Partners.

The distinction between the two components is important. The Rs 450 crore represents the proposed fresh issue, not the total value of the IPO. The final offer size will also depend on the OFS pricing and other issue details.

Revenue Crosses Rs 1,293 Crore, but Losses Widen

Atomberg reported revenue from operations of ₹1,293.77 crore in FY26, up 34.8% from ₹959.51 crore in FY25.

However, its consolidated net loss widened to ₹148.9 crore in FY26 from ₹117.4 crore a year earlier. Adjusted EBITDA also declined to ₹37.12 crore from ₹51.35 crore in FY25, indicating that revenue growth has not yet translated into stronger operating profitability.

Research and development remains a major investment area. Atomberg spent ₹86.79 crore on R&D in FY26, equivalent to 6.71% of its operating revenue. Its R&D team had 254 engineers as of March 31, 2026.

For public-market investors, the key question will be whether this investment in product engineering, technology and brand building can support sustainable margins as the business scales.

Beyond Smart Fans: Atomberg Expands Its Appliance Business

Atomberg's consumer portfolio includes ceiling fans, mixer grinders, water purifiers, cold-pressed juicers and smart locks. It also manufactures proprietary motors, controllers and other components for enterprise customers such as Voltas, Godrej and Blue Star through its subsidiary, Atomberg Innovations.

The company follows an omnichannel distribution model, selling through its own website, e-commerce marketplaces, quick commerce platforms, distributors and retail stores.

As of March 31, 2026, Atomberg had around 626 distributors and direct dealers, with 46,932 retail touchpoints across nearly 1,600 cities and towns. Its after-sales service network covered more than 18,000 pin codes.

Smaller cities are an important part of its business. Tier II and smaller markets contributed 49.57% of offline consumer appliances revenue in FY26, compared with 30.91% from metropolitan cities and 19.52% from Tier I cities.

What Atomberg’s IPO Means for Investors

The SEBI observation letter is a significant milestone, but it does not mean the IPO has opened or that the shares are ready to list. Atomberg must complete the remaining regulatory and issue preparations before launching the offer.

The proposed listing will allow public-market investors to assess a consumer technology company competing in India's large home-appliances market. Its growth, distribution reach and engineering capabilities are important parts of the investment story. So are its widening losses and lower adjusted EBITDA compared with FY25.

For founders and investors tracking India's consumer-tech sector, Atomberg's IPO will be worth watching for another reason: it will test how public markets value a product-led appliances business that is investing heavily in brand building and proprietary technology while still working towards consistent profitability.

With Manoj Meena and Sibabrata Das leading the company into its next phase, the focus will be on converting its expanding distribution network and product portfolio into stronger financial returns.
